These Terms of Service (“Agreement”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and MindFuel Health & Wellness, LLC (“MindFuel,” “we,” “us,” or “our”), governing your access to and use of our coaching, personal training, wellness services, digital products, in-person programming, and all related websites, applications, and platforms (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by this Agreement, our Privacy Policy, and any additional policies we may establish.

1. Eligibility and Medical Acknowledgment

You represent and warrant that:

  • You are at least 18 years of age.

  • You are physically and mentally able to participate in physical training and coaching services.

  • You have received medical clearance to begin a wellness, fitness, or nutritional program, especially if you are pre- or post-bariatric surgery.

YOU UNDERSTAND THAT PARTICIPATION IS VOLUNTARY AND AT YOUR OWN RISK.

2. Nature of Services

MindFuel Health & Wellness provides:

  • Personal training

  • Wellness and lifestyle coaching

  • Nutritional and fitness education

  • Post-bariatric support (non-clinical)

  • Virtual and in-person services

No medical, psychological, or licensed dietetic advice is provided unless explicitly stated. Our services do not substitute for licensed medical treatment or psychotherapy.

3. Assumption of Risk and Waiver of Liability

You understand and agree that:

  • Physical exercise and wellness coaching carry inherent risks, including but not limited to muscle strain, injury, illness, or in rare cases, death.

  • You voluntarily assume all risks related to participation.

Release of Liability:
To the fullest extent permitted by law, you hereby release, waive, discharge, and covenant not to sue MindFuel Health & Wellness, its owners, employees, contractors, and affiliates for any and all liability, claims, demands, or causes of action arising out of your participation, including any negligent acts or omissions.

You agree to indemnify and hold harmless MindFuel and its representatives from any losses, costs, liabilities, or expenses (including attorneys' fees) arising out of your use of the Services or breach of this Agreement.

4. Payment Terms

  • All sessions, memberships, or services must be paid for in advance unless otherwise agreed in writing.

  • Payment is accepted via authorized third-party processors.

  • Monthly memberships or subscriptions will auto-renew unless cancelled in accordance with our cancellation policy.

  • No refunds will be issued for services rendered or unused sessions unless required by law.

5. Cancellation and Rescheduling

  • Private Sessions: Cancellations must be made at least 24 hours in advance to avoid forfeiting the session or incurring a cancellation fee.

  • Programs/Packages: Program start dates are fixed unless otherwise agreed. Missed sessions may not be refunded or rescheduled unless due to medical emergencies.

  • Workshops/Events: Non-refundable unless canceled by MindFuel.

6. Intellectual Property Rights

All content provided by MindFuel, including training materials, guides, videos, digital downloads, branding, and website content, is owned or licensed by us and protected under copyright and intellectual property law.

You are granted a limited, non-transferable, non-exclusive license to use materials for personal, non-commercial use only. You may not copy, reproduce, share, resell, or distribute our content without express written consent.

7. Confidentiality and Client Privacy

We respect your privacy and comply with HIPAA standards for any health-related data you voluntarily disclose. All personal, fitness, and health data collected will be treated as confidential and handled according to our Privacy Policy.

Clients must also respect the confidentiality of group members in any group coaching or community sessions.

8. Client Conduct and Termination

MindFuel reserves the right to refuse or terminate services at any time if a client:

  • Demonstrates abusive, harmful, or disruptive behavior

  • Violates this Agreement

  • Presents a risk to themselves or others

You may terminate your participation at any time. Refunds, if any, are subject to the terms above.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. MindFuel disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and results.

We do not guarantee any specific outcomes (physical, mental, or otherwise) from use of our Services.

10. Limitation of Liability

In no event shall MindFuel, its owners, agents, or employees be liable to you or any third party for:

  • Any indirect, incidental, consequential, or punitive damages

  • Any loss of profits, data, use, or goodwill

  • Damages exceeding the amount paid by you to us in the preceding six (6) months

Certain jurisdictions do not allow exclusion or limitation of liability, so these limitations may not apply to you in full.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising out of this Agreement or the use of Services shall be resolved through:

  • Mediation first, and if unsuccessful,

  • Binding arbitration conducted in Pinellas County, Florida

You waive any right to a jury trial.

12. Severability

If any provision of this Agreement is found to be unlawful or unenforceable, that provision shall be severed and the remainder of the Agreement shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire understanding between you and MindFuel regarding your use of the Services, superseding any prior written or oral agreements.

14. Changes to Terms

We reserve the right to update or modify these Terms at any time. Updates will be posted on our website with the revised effective date. Continued use of the Services indicates your acceptance of the revised Terms.
